1. Introduction
These Terms of Service ("Terms") outline how you can use Counselly and what you can expect from us as we build and improve the product.
By using Counselly ("the Platform," "we," or "us"), you agree to these Terms and to our Privacy Policy. If you do not agree, you may not use the platform.
Counselly is operated by Counselly AI, a digital educational platform that provides AI-powered college guidance and counseling tools for students, educators, and institutions.
2. Eligibility
You must be at least 13 years old to create an account or use the platform. Users under 18 must have consent from a parent, guardian, or authorized school counselor.
If you are using Counselly on behalf of an institution, you confirm that you have authority to bind that institution to these Terms.
3. Description of the Service
Counselly provides AI-driven guidance to help students explore interests, discover universities, and plan their college applications. The platform also offers tools for essay feedback, application tracking, and general educational support.
Counselly does not guarantee admission to any institution or specific outcomes. The AI counselor provides informational guidance only and should not replace professional academic or legal advice.
4. Account Registration and Security
When you register, you agree to:

Counselly reserves the right to suspend or terminate accounts that violate these Terms or that appear to pose security or compliance risks.
5. Acceptable Use
You agree not to:
- •Use the platform for unlawful, harmful, or fraudulent activities
- •Attempt to reverse-engineer or disrupt the platform
- •Upload or share content that is offensive, discriminatory, or violates intellectual property rights
- •Misrepresent yourself or use another person's identity
We may remove content or restrict access if these conditions are violated.
6. Content Ownership
a. Your Content
You retain ownership of all essays, documents, and materials you upload. By submitting content to Counselly, you grant us a limited, non-exclusive, worldwide license to process and display your content solely for providing the service.
b. Platform Content
All AI outputs, tools, design elements, and content created by Counselly remain the property of Counselly AI. You may not reproduce or distribute them without permission.
7. Data and Privacy
Counselly collects and processes data as described in our Privacy Policy. By using the platform, you consent to that processing, including international data transfers where applicable.
If you are located in the European Economic Area (EEA) or the United Kingdom, you have specific rights under GDPR, including access, correction, and deletion of your data.
8. Payment and Subscriptions
Certain features may require payment or subscription. All prices are listed in USD unless otherwise stated.
By subscribing, you authorize recurring charges according to the plan selected. You may cancel anytime through your account settings. Refunds are handled according to applicable consumer laws and our refund policy (if published).
9. Intellectual Property
All platform content, trademarks, and design assets are owned or licensed by Counselly AI. You may not copy, modify, or resell any part of the service without written consent.
10. AI-Generated Content Disclaimer
Counselly uses AI technology to provide recommendations and writing assistance. AI-generated outputs may contain inaccuracies or omissions. Users are responsible for verifying critical information, including deadlines, admission criteria, and application details.
11. Limitation of Liability
To the fullest extent permitted by law:
- •Counselly and its affiliates are not liable for any indirect, incidental, or consequential damages arising from your use of the platform.
- •Our total liability will not exceed the amount paid by you in the 12 months preceding the claim.
- •Counselly is not responsible for third-party content, links, or systems connected to the platform.
12. Termination
You may delete your account at any time. We may suspend or terminate your access if you violate these Terms, misuse the service, or engage in harmful behavior.
Upon termination, your right to access the platform ceases immediately, but sections on ownership, liability, and privacy will survive.
13. Changes to These Terms
We may update these Terms occasionally. Material changes will be posted on this page with the updated date. Continued use of Counselly after changes means you accept the updated Terms.
14. Governing Law
These Terms are governed by and interpreted in accordance with:
